Public Offer for Services

1. Terms and Definitions

This offer uses the following terms:

• "Contractor" — Individual Entrepreneur Pavel Yuryevich Kolomin, TIN 971508170490, OGRNIP 318774600058786, providing services under the commercial designation LUMUX.
• "Customer" means a legally capable individual or a legal entity that has accepted this offer in the manner prescribed in Section 4.
• "Site" means the online resource located at lumux.ru, owned by the Contractor.
• "Services" — design, installation, and configuration of turnkey smart home systems (lighting, climate control, security, multiroom audio), performed by the Contractor according to the Customer's specifications.
• "Request" – the Customer's application submitted via a form on the Website, a preliminary calculation calculator, or another agreed communication channel.
• "Calculator" is an interactive tool on the Site for preliminary approximate calculation of the cost of Services.
• "Quote" is a document that specifies the exact scope, volume, cost, and terms of the Services, agreed upon by the Parties following the processing of a request.
• "Parties" — the Contractor and the Customer when mentioned together.

2. Parties to the Agreement

2.1. The Contractor under this offer is the individual entrepreneur Pavel Yuryevich Kolomin, Taxpayer Identification Number (INN) 971508170490, Primary State Registration Number of Individual Entrepreneur (OGRNIP) 318774600058786, legal address: [legal address to be confirmed].

2.2. The Customer is the person who has accepted this offer. By accepting, an individual confirms their legal capacity and that they have reached the age of 18, and a representative of a legal entity confirms the availability of the appropriate authority.

2.3. Service Area – Moscow and Moscow Region. The possibility of providing Services outside the specified territory is determined by the Parties on a case-by-case basis.

3. Subject of the Agreement

3.1. The Contractor undertakes to provide the Customer with turnkey smart home system design, installation, and configuration services as per the Customer's assignment, and the Customer undertakes to accept and pay for the Services under the terms of this offer and the agreed Quote.

3.2. The scope of Services may include, depending on the Customer's needs:

• design of a smart home system and preparation of a technical solution;
• installation of lighting control equipment;
• installation and configuration of climate control systems;
• installation and configuration of security systems;
• organization of multiroom audio and other control scenarios;
• commissioning, adjustment, and handover of the system to the Customer.

3.3. The specific scope, volume, timelines, and cost of the Services are determined by the Quote, agreed upon by the Parties following the processing of the Request. The Quote is an integral part of the agreement.

3.4. The information about the services provided on the Site is for informational purposes only and is not an exhaustive list. The exact scope of work is determined individually.

4. Procedure for concluding the contract (acceptance of the offer)

4.1. The agreement between the Parties shall be deemed concluded from the moment of the Customer's acceptance of this offer. Acceptance shall be deemed any of the following actions taken by the Customer:

• submitting a Request on the Website (via the feedback form or Calculator) with confirmation of familiarization with the terms of this offer;
• written or other explicit agreement to the quote proposed by the Contractor;
• payment (in full or as a partial advance) for the agreed-upon quote.

4.2. Submitting a Request on the Website itself constitutes the Customer's inquiry to agree on the terms of service provision and does not obligate the Contractor to commence work until the Quote is agreed upon.

4.3. By accepting, the Customer confirms that they have read and agree to the terms of this offer, the Privacy Policy, and the Consent to Personal Data Processing.

4.4. Processing of the personal data provided by the Customer is carried out in accordance with the Privacy Policy. When submitting a Request via the Website forms, the Customer provides their last name, first name, and contact phone number; the initial recording of such data is performed in the information system within the territory of the Russian Federation.

5. Service Cost and Payment Procedure

5.1. The cost of the Services is determined individually and is fixed in the quote agreed upon by the Parties in Russian rubles.

5.2. The result of the preliminary estimate obtained through the Website Calculator is for informational (approximate) purposes only, does not constitute a public price offer, and does not create any obligations for the Parties based on the amount specified therein. The final cost is determined by the quote after clarifying the parameters.

5.3. Payment terms, amount and deadlines for the advance payment [to be specified] are set and fixed in the Quote. The advance payment amount is [to be specified] percent of the Service cost.

5.4. Payment is made by methods agreed upon by the Parties. The Customer's payment obligation is considered fulfilled from the moment funds are received by the Contractor.

5.5. The cost of Services may be revised if the Customer changes the requirements for the scope or composition of works. Changes are formalized by an additional agreement to the quote.

6. Rights and Obligations of the Parties

6.1. The Contractor shall:

• provide the Services in the volume and within the timeframes specified in the quote, with high quality and in accordance with applicable regulations;
• timely inform the Customer about circumstances affecting the timing and quality of the Services;
• to process the Customer's personal data in accordance with the Privacy Policy.

6.2. The Contractor has the right to:

• request from the Customer information and access to the facility necessary for the provision of Services;
• engage third parties to provide the Services, while remaining responsible to the Customer for the result;
• suspend the provision of Services if the Customer fails to provide necessary information, access to the facility, or violates the payment procedure.

6.3. The Customer undertakes to:

• provide accurate information necessary for the provision of Services and ensure access to the facility;
• timely approve the Quote and pay for the Services in the established manner;
• accept the Services provided and sign the relevant documents in the absence of justified objections.

6.4. The Customer has the right to:

• receive information on the progress of the Services;
• select a preferred communication channel for interaction with the Contractor (Telegram, WhatsApp, or Max). Communication via the selected channel is initiated by the Customer; the Contractor's response is sent manually; the Website does not automatically transfer personal data to messengers;
• refuse the Services in accordance with the Refund and Cancellation Policy and the legislation of the Russian Federation.

7. Warranties and Liability

7.1. The Contractor guarantees the proper quality of the Services and the compliance of the result with the agreed Quote. The warranty period for the completed works is [to be specified].

7.2. Warranty obligations do not cover defects arising from the Customer's violation of operating rules, independent interference with the system, actions of third parties, or force majeure circumstances.

7.3. The Parties shall be liable for failure to perform or improper performance of their obligations in accordance with the legislation of the Russian Federation.

7.4. The Contractor shall not be liable for the inability to provide the Services due to reasons attributable to the Customer, including failure to provide necessary information or access to the facility.

7.5. The Parties shall be released from liability for failure to fulfill obligations if such failure is caused by force majeure circumstances that occurred after the conclusion of the contract.

8. Term of the Offer

8.1. This offer comes into effect from the date of its publication on the Website and remains valid until it is revoked or replaced by a new version by the Contractor.

8.2. The Contractor has the right to change the terms of this offer or withdraw it at any time. The changes take effect from the moment the new version is posted on the Website, unless a different period is specified in the version itself.

8.3. For relations between the Parties that arose prior to the amendment of the offer, the version in effect at the time of acceptance shall apply.

9. Procedure for Amending and Terminating the Contract

9.1. Changes to the terms of the concluded agreement are formalized by mutual agreement of the Parties through the approval of a new version of the Quote.

9.2. The Customer has the right to refuse to perform the contract, provided that the Contractor is compensated for the actual expenses incurred by the Contractor in accordance with Article 782 of the Civil Code of the Russian Federation.

9.3. The procedure for refusing Services, refunding deposited funds, and mutual settlements upon termination of the contract is defined in the Refund and Cancellation Policy.

9.4. All disputes shall be resolved by the Parties through negotiations, and if no agreement is reached, in accordance with the procedure established by the legislation of the Russian Federation.

11. Final Provisions

11.1. In all matters not regulated by this offer, the Parties shall be governed by the legislation of the Russian Federation.

11.2. The legal qualification of this document (as a public offer or as an invitation to make offers) and the list of essential terms of the agreement are subject to legal approval and may be clarified in the final version.
